Beta Terms & Confidentiality

Invitation-only access

Access is granted to specific individuals by invitation and is personal to you. You may not share your account, invite link, or credentials, and we may approve, suspend, or revoke access at any time and for any reason during the beta.

Confidentiality

The beta, including the application, forecasting methodology, models, calibrated parameters, datasets, scenario outputs, product strategy, roadmap, pricing, designs, source-adjacent materials, and any non-public features or documentation, is confidential information of Historacle. You agree to keep it confidential and not to disclose it to third parties without our prior written consent.

Restrictions

You agree not to:

• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, prompts, datasets, architecture, parameters, or methodology of the Service.
• Extract, copy, scrape, or reproduce the engine, trained parameters, episode datasets, or scenario outputs, whether by automated means or otherwise.
• Redistribute, resell, sublicense, publish, or commercially exploit any part of the Service or its outputs.
• Use the Service, Confidential Information, or beta access to build, train, improve, benchmark, validate, or support a competing product or service.
• Use the Service for a competitor's benefit or circumvent access controls, rate limits, or security measures.

Historacle IP ownership

Historacle and its licensors retain all right, title, and interest in the Service, including the software, interface, models, methodology, training and calibration approaches, datasets, data structures, prompts, documentation, trade secrets, trademarks, and related intellectual property. These Beta Terms do not transfer any ownership rights to you.

You receive only a limited, revocable, non-transferable right to access the beta for your own evaluation and testing during the authorized beta period.

No general non-compete

These Beta Terms are intended to protect Historacle's Confidential Information, trade secrets, and intellectual property. They are not intended to prevent you from working in your profession or independently developing products without using or disclosing Historacle Confidential Information, trade secrets, or intellectual property.

Collaboration discussions

Beta access does not create a partnership, joint venture, employment, advisory, contractor, reseller, investor, or other collaboration relationship. Unless we sign a separate written agreement, you may not represent that you are collaborating with Historacle, use Historacle materials for fundraising or commercial outreach, or claim rights in Historacle's product, roadmap, data, models, or intellectual property.

Any collaboration, contribution, advisory, contractor, or investment discussion requires a separate signed agreement before rights, duties, compensation, equity, IP assignment, or invention ownership are created.

Feedback

We welcome your feedback. You grant us a perpetual, irrevocable, worldwide, royalty-free right to use any feedback, bug reports, ideas, or suggestions you provide to improve, market, operate, or commercialize the Service, without restriction or obligation to you. Feedback does not give you ownership rights in Historacle, the Service, or resulting product changes.

Provided “as is”

The beta is pre-release software provided “as is” and may be incomplete, change, or be discontinued without notice. Outputs are analytical techniques, not predictions or investment advice. We make no warranties and are not liable for any decisions made using the Service.

Term

These Beta Terms apply for the duration of your beta access. The confidentiality, non-use, IP ownership, restrictions, feedback, and enforcement-related obligations survive termination of your access.
